Assistant General Counsel and Compliance Officer

ESSENTIAL DUTIES AND RESPONSIBILITIES   

The Assistant General Counsel and Compliance Officer provides strategic legal advice and counsel in support of a variety of areas as assigned, such as health law and compliance, healthcare transactions, HIPAA/privacy, employment law, customer and vendor contract negotiations and review, real estate, intellectual property and litigation.   

  • Provides a wide range of general corporate legal services to in-house clients. Works collaboratively with internal clients by providing clear, practical and timely legal advice.
  • Plans, develops, monitors and implements compliance program, including the development and implementation of policies and procedures, administration of compliance activities, and monitoring and reporting on compliance matters.
  • Analyzes business and commercial initiatives and provides advice and counsel on commercial terms and applicable laws and regulations.
  • Drafts, reviews and negotiates a variety of contracts including, but not limited to, master and customer service contracts, supply agreements, consulting contracts, confidentiality, non-disclosure and non-compete agreements, vendor agreements, IT agreements, software and data licenses, real estate and construction contracts and other strategic agreements. 
  • Provides legal advice relative to contract disputes. 
  • Manages contracts workflow and prioritization in line with the company’s objectives. 
  • Serves as internal point of contact for document management activities.
  • Advises on the interpretation of legal documents in a manner that provides accurate guidance and practical advice while properly managing risk to the organization.
  • Researches state and federal laws and regulations applicable to federal healthcare programs, contract interpretation issues and company processes and maintains working knowledge of basic healthcare regulatory requirements.
  • Assists on compliance matters– including employment, privacy, anti-kickback, healthcare fraud and abuse laws and regulations.
  • Assists with development of policies and employee training as needed.
  • Keeps informed of new laws, regulations, and industry trends affecting the organization.
  • Assists with special projects as assigned by the General Counsel.

QUALIFICATIONS:    

  • 10+ years of substantive experience in providing healthcare regulatory, compliance and contracting advice and counsel.
  • Extensive knowledge and experience in healthcare risk management, contract drafting and negotiation and ensuring compliance with applicable laws, rules and regulations. Knowledge of, and experience with, healthcare regulations applicable to the pharmacy industry.
  • Ability to proactively identify, define and appropriately communicate issues and risks to internal decision makers for collaboration and resolution.
  • Sound business judgment and strategic thinking, with the ability to define business tradeoffs, generate creative and practical solutions and anticipate the impact of decisions.
  • Excellent analytical and contract interpretation skills, and an ability to communicate complex issues in a simple way.
  • Experience managing a significant number of projects simultaneously and ability to thrive in a dynamic and fast paced environment while remaining proactive, resourceful, flexible and efficient, while maintaining confidentiality, high quality and ethical business standards.
  • Excellent judgment and ability to work independently and as a team to manage various tasks and simultaneously balance competing priorities to meet deadlines.
  • Excellent interpersonal, written and oral communication skills.
